Mengniu is proposing to acquire all the Scheme Shares for A$12.65 (US$8.66) per Scheme Share.
The Chinese company said that, as of the announcement on September 15, there were 110,119,815 Target Shares in issue (excluding the Excluded Shares) and 5,231,993 Target Options granted and outstanding.
The total consideration payable by the company for the Scheme Shares is up to A$1.46bn ($1bn).
Mengniu says it expects to finance the proposed acquisition from a combination of internal resources and bank financing.
Mengniu said the organic infant formula and baby food market represents a highly attractive growth and margin expansion opportunity for the Group. Infant milk formula is one of the largest and fastest growing segments amongst all dairy segments in China, driven by increasing disposable income and growing child spend. Future growth is underpinned by continuous premiumization and increasing penetration into lower tier cities, which have larger households and higher birth rates.
Organic infant formula enjoys significantly faster growth and higher margins compared to the overall market. Stronger demand for organic products is driven by consumer perception of higher quality and safety standards.
The proposed acquisition is in line with the group’s strategy and will enable it to capture the huge potential in organic IMF and baby food categories in China and Southeast Asia, Mengniu said.
One of the Group’s key growth strategies is to achieve growth in the premium infant milk formula segment. In addition, Bellamy’s operations in Australia, New Zealand and Southeast Asia fit the Group’s strategy to expand into overseas markets with near-term focus on Southeast Asia and Australia.
Mengniu said Bellamy’s has strong brand awareness in China and Southeast Asia, and a comprehensive range of premium and super premium organic baby milk formula and baby food products, which enjoys higher margins than Mengniu’s existing business segments.
The Chinese company said it believes it is uniquely positioned to unlock Bellamy’s brand potential especially in the overseas markets including China and Southeast Asia.
According to Bellamy’s published audited consolidated accounts as of June 30, 2019, its net assets were approximately A$232.3m (US$158.9m). The audited net profits (before and after taxation) for the year ended June 30, 2018, were A$61.2m (US$41.9m) and A$42.8m (US$29.3m), respectively, and the audited net profits (before and after taxation) for the year ended June 30, 2019 were A$31.4m (US$21.5m) and A$21.7m (US$14.8m) respectively.
Mengniu said that should the deal close, Bellamy’s will become an indirectly wholly-owned subsidiary of Mengniu and its results, assets and liabilities will be consolidated into the accounts of the Group.
Bellamy’s board said that in the absence of a superior proposal, it unanimously recommended that shareholders vote in favor of the scheme.
